(selanjutnya   disebut   “Perseroan”)   dan   PT   Paramadaksa   Teknologi  Nusantara   (selanjutnya   disebut   “PT.   PTN”)   telah   menandatangani  Perjanjian  Pokok  pengalihan   atas   segmen  perangkat/piranti   lunak   aplikasi  (application   software)   untuk   mengelola   bisnis   distribusi   yang   dikenal  dengan   nama   Nexsoft   Distribution   (ND)   95   dan   ND   6.0   milik   Perseroan  (“Software  Nexsoft”).    

2   Jenis   Informasi   atau  Fakta  Matrial  

Software   Nexsoft   pada   saat   ini   merupakan   bagian   dari   segmen   usaha  Perseroan  dan  dicatat  sebagai  aset  tidak  berwujud  yang  berasal  dari  biaya  pembelian   piranti   lunak   ND   95   termasuk   penelitian   dan   pengembangan  atas  ND  6.0  tersebut  pada  tahun  2014.  Seiring  dengan  kebijakan  Perseroan  untuk  mem-­‐fokus-­‐kan  diri  pada  anak  perusahaan  yang  baru  saja  diakuisisi  pada   tahun   2015   maka   Perseroan   bermaksud   untuk   melepaskan   dan  mengalihkan   hak   atas   Software  Nexsoft   beserta   kegiatan   usaha/bisnisnya  kepada  PT.  PTN.    

3   Uraian   Informasi   atau  Fakta  Material  

Sesuai   rencana   Perseroan   untuk   fokus   pada   anak   perusahaan   yang  diakuisisi   pada   tahun   2015,   maka   Perseroan   bermaksud   melakukan  pelepasan  segmen  usaha  Software  Nexsoft,  dengan  cara  mengalihkan  hak  kepemilikan   piranti   lunak   Software   Nexsoft   beserta   kegiatan  usaha/bisnisnya  kepada  PT.  PTN.    Sehubungan   dengan   hal   tersebut,   Perseroan   telah   menunjuk   Penilai  Independen  KJPP    Ruky,  Safrudin  &  Rekan  untuk  melakukan  penilaian  atas

segmen   usaha   Software   Nexsoft   ini,   dan   berdasarkan   Laporan   Penilaian  Harga  Pasar  Wajar    No.  RSR/R/B.060416  tanggal  6  April  2016,  harga  pasar  wajar   untuk   segmen   usaha   Software   Nexsoft   ini   adalah   sebesar   Rp.  8.073.000.000,-­‐  (delapan  milyar  tujuh  puluh  tiga  juta  Rupiah).    Dengan   memperhatikan   Laporan   Penilai   Harga   Pasar   Wajar   atas   segmen  usaha   Software   Nexsoft   tersebut,   Perseroan   selanjutnya   dalam   proses  negosiasi  dengan  PT.  PTN  mendapatkan  kesepakatan  untuk  melaksanakan  Perjanjian  Pokok  pengalihan  dengan  syarat-­‐syarat  sebagai  berikut  :  1. Harga   Pengalihan   termasuk   Pajak   Pertambahan   Nilai   ditetapkan  

sebesar   Rp   9.000.000.000,-­‐   (sembilan   milyar   rupiah)     yang   akan  dibayarkan   secara   bertahap   dengan   keseluruhan   Harga   Pengalihan  telah   diselesaikan   oleh   PT.   PTN   paling   lambat   pada   tanggal   30  September  2016.  

2. Perseroan   memberikan   grace   period   yang   berlaku   dari   tanggal   31  Maret   2016   sampai   dengan   tanggal   30   September   2016   kepada   PT.  PTN   untuk   melakukan   pengelolaan   dan   pengoperasian   Software  Nexsoft,   melakukan   pelayanan   kepada   pelanggan   pengguna   layanan  Software   Nexsoft   tersebut,   termasuk   memperoleh   pelanggan   baru  dengan  ketentuan   seluruh  beban  biaya  pengoperasian,  pengeluaran-­‐pengeluaran  dan  hasil  usaha  yang  ada  sepenuhnya  menjadi  beban  dan  tanggung  jawab  PT.  PTN.  

3. Sejak   tanggal   31   Maret   2016,   Peseroan   dibebaskan   dari   seluruh  kewajiban   untuk   melakukan   pembayaran   komisi   penjualan   (royalty)  atas  produk  Software  Nexsoft,  dan  seluruh  biaya  untuk  pengoperasian  segmen  usaha  Software  Nexsoft.  

4. Dengan   penandatanganan   Perjanjian   Pokok   pengalihan,   seluruh  kewajiban-­‐kewajiban   kepada   pelanggan   pengguna   layanan   Software  Nexsoft  dialihkan  Perseroan  kepada  PT.  PTN.  

5. Bilamana   paling   lambat   setelah   akhir   grace   period,   PT.   PTN   telah  melakukan   pembayaran   Harga   Pengalihan   secara   penuh,   maka  Perseroan   dan   PT.   PTN   akan   menandatangani   Perjanjian   Jual   Beli  sehingga   hak   atas   perangkat/piranti   lunak   aplikasi   (application  software)   Software   Nexsoft   beserta   kegiatan   usaha/bisnisnya  sepenuhnya  akan  beralih  kepada  PT.  PTN.  

6. Bilamana   setelah   jangka   waktu   grace   period   berakhir   dan   PT.   PTN  tidak   melaksanakan   pembayaran   sebagaimanaa   mestinya,   maka  Perjanjian  Pokok  pengalihan  berakhir  dan  hak  atas  perangkat/piranti  lunak   aplikasi   (application   software)   Software  Nexsoft   tetap  menjadi  milik  Perseroan  sepenuhnya  dengan  kondisi  baik.  

4   Dampak   kejadian,  informasi   atau   fakta  material   tersebut  terhadap   kegiatan  operasional,   hukum,  kondisi   keuangan,   atau  kelangsungan   usaha  Emiten   atau  Perusahaan  Publik  

 Dampak  terhadap  kondisi  keuangan  Perseroan  Perseroan  akan  memperoleh  dana  kas  sebesar  Rp.  9.000.000.000,-­‐    sebagai  ganti  dari  pelepasan  segmen  usaha  Software  Nexsoft.

shall   be   referred   to   as   the   “Company”)   and   PT   Paramadaksa   Teknologi  Nusantara  (hereinafter  shall  be  referred  to  as  the  “PT.  PTN”)  have  signed  a  Master   Agreement   (Perjanjian   Pokok)   on   the   transfer   of  management   of  distribution   business   application   software,   known   as   Nexsoft   Distribution  (ND)  95  and  ND  6.0  owned  by  the  Company  ("Nexsoft  Software  ").    

2   Type   of   Information  or  Material  Facts  

Currently,  Nexsoft  Software  is  part  of  the  Company's  business  segment  and  isrecorded   as   an   intangible   asset   arising   from   the   purchase   of   ND   95  software,  including  the  research  and  development  of  ND  6.0  in  year  2014.  Subsequent  to  the  Company's  policy  focusing  in  its  subsidiary  that  recently  was   acquired   by   the   Company   in   year   2015,   the   Company   intends   to  release   and   transfer   the   rights   of   Nexsoft   Software   along   with   its  operations/business  to  PT.  PTN.        

3   Description   on  Information   or  Material  Facts  

As   the   Company’s   plan   to   focus   on   its   respective   subsidiary   that   was  recently   acquired  by   the  Company   in   year   2015,   the  Company   intends   to  release   its   business   segment   of   Nexsoft   Software,   by   way   of   transfer   its  ownership   on  Nexsoft   Software   along  with   its   operations/business   to   PT.  PTN.    

In   connection   to   that,   the   Company   has   appointed   an   Independent  Appraisal   Services   Office   (KJPP)   Ruky,   Safrudin   &   Partners   to   conduct   an  assessment  on  Nexsoft  Software’s  business  segment,  and  based  on  the  Fair  Market  Price  Assessment  Report  No.  RSR/R/B.060416  dated  April  6th  2016,  the   fair   market   price   for   Nexsoft   Software   is   in   amount   of  Rp.8,073,000,000.-­‐  (eight  billion  seventy  three  million  Rupiah).  

With   due   observance   to   the   Fair   Market   Appraisal   Report   on     Nexsoft  Software’s   business   segment,   the   Company   further   in   the   process   of  negotiation  with  PT.  PTN  has  reach  an  agreement  to  implement  the  Master  Agreement  on  transfer  with  the  terms  as  follows:  

1. The  Transfer  Price   including  Value  Added  Tax   is  agreed   in  amount  of  Rp.  9,000,000,000.-­‐  (nine  billion  Rupiah)  which  shall  be  paid  in  stages  with  overall   Transfer   Price   shall   be   settled  by  PT.   PTN  not   later   than  September  30th,  2016.    

2. The   Company   provides   a   grace   period  which   valid   from  March   31st,  2016   to   September,   30th   2016   to   PT.   PTN   to   manage   and   operate    Nexsoft   Software,   to   perform   services   to   the   customers   of   Nexsoft  Software   users,   including   acquiring   new   customers   under   the  provision   that  all  of   the  costs,  expenses  and  outcomes  of  operations  shall  solely  become  the  burden  and  resposibility  of    PT.  PTN.    

3. Since   March   31st,   2016,   the   Company   has   been   released   from   all  liabilities  to  make  payment  on  sales  commissions  (royalty)  on  Nexsoft  Software’s   product,   and   the   entire   cost   for   the   Nexsoft   Software’s  operation  business  segment.      

4. By   signing   the  Master  Agreement   on   transfer,   all   obligations   to   the  Nexsoft  Software’s  customers  are  being  transferred  to  PT.  PTN.  

5. If  by  the  latest  after  the  end  of  the  grace  period,  PT.  PTN  has  made  full  payment  of  the  Transfer  Price,  the  Company  and  PT.  PTN  will  sign  the  Sale  and  Purchase  Agreement  thus  the  rights  on  application  software  of  Nexsoft   Software   along  with   its   operations/business   will   be   fully  transferred  to  PT.  PTN.      

6. If  after  the  expiration  of  grace  period    and  PT.  PTN  has  not  made  a  full  payment   of     Transfer   Price   yet,   then   the   Master   Agreement   on  transfer  will  be   terminated  and   the   rights  of  application   software  of  Nexsoft   Software   will   remain   entirely   as   the   Company’s   asset     in   a  good  conditions.

The   impact   on   the   financial   condition   of   the   Company  The  Company  will  receive  cash  funds  in  amount  of  Rp.9,000,000,000.-­‐  (nine  billion  Rupiah)  –  as   the   consideration   for   the   release  of  Nexsoft   Software  business  segment.
